These Terms of Service govern use of the Phics USA website and explain the general conditions that apply when you contact us or purchase professional digital services.

1. Acceptance of These Terms

These Terms of Service (“Terms”) govern your access to and use of the Phics USA website. By accessing or using this website, you agree to be bound by these Terms and the policies referenced in them. If you do not agree, please do not use this website.

Submitting an inquiry alone does not create a service agreement. A service relationship begins only when Phics USA accepts a project through applicable written confirmation and any required payment conditions have been satisfied.

2. About Phics USA

Phics USA provides professional digital solutions through three primary service areas: Website & Digital Solutions, Business Software Solutions, and Digital Marketing & Growth. References to “Phics USA,” “we,” “our,” or “us” mean the operator providing the website or the party identified as the service provider in the applicable project documents.

3. Website Use

You may use this website only for lawful purposes. You agree not to:

  • Interfere with the website’s operation, availability, or security
  • Attempt unauthorized access to systems, accounts, forms, or data

5. Project Documents and Order of Priority

A project may be documented through a proposal, scope of work, quotation, service agreement, order summary, invoice, authorized email confirmation, or another written record accepted by Phics USA (collectively, “Project Documents”). Electronic records and approvals may be used where permitted by applicable law.

If a Project Document conflicts with these website Terms, the Project Document controls for that project to the extent of the conflict. The Privacy Policy, Cookie Policy, Service Delivery Policy, and Refund & Cancellation Policy continue to apply where relevant unless an accepted Project Document expressly states otherwise.

6. Inquiries and Project Acceptance

You are responsible for providing accurate, complete, and authorized information when contacting Phics USA. An inquiry does not create a client, partnership, employment, fiduciary, or agency relationship; authorize work; require payment; guarantee a response; or obligate Phics USA to accept a project.

Phics USA may accept, decline, limit, postpone, or refer an inquiry based on project fit, available resources, timing, location, technical feasibility, platform compatibility, security, legal or ethical considerations, payment arrangements, or other reasonable business factors.

7. Pricing, Invoices, Payments, and Taxes

Unless an accepted Project Document states otherwise, Phics USA follows an invoice-first process. Scope and pricing are confirmed before an invoice is issued, and any required payment or deposit must be received and cleared before scheduled work begins.

You agree to pay all charges, deposits, milestone payments, recurring fees, approved expenses, applicable taxes, and third-party costs described in the Project Documents. Bank, currency-conversion, payment-provider, chargeback, or similar fees may be allocated as stated in those documents or as allowed by law.

Late, reversed, disputed, or incomplete payments may result in delayed, paused, withheld, or cancelled work, subject to applicable law and the Project Documents. You should contact Phics USA promptly if you believe an invoice contains an error.

8. Recurring or Continuing Services

Ongoing management, maintenance, marketing, or other recurring services apply only when expressly described and authorized in the Project Documents. Before recurring billing begins, the applicable price, billing frequency, service period, renewal terms, and cancellation method will be disclosed. Silence or failure to respond will not create a new recurring commitment unless applicable law and the accepted agreement expressly permit it.

9. Changes, Additional Work, and Delays

Requests outside the agreed scope may require a revised quotation, change order, timeline, invoice, or separate project. Phics USA is not required to perform additional work until it has been documented and approved.

Schedules may change because of delayed approvals, missing materials, expanded scope, third-party services, platform outages, customer decisions, force-majeure events, or circumstances outside reasonable control. Phics USA will communicate material scheduling changes where reasonably practicable.

10. Cancellations and Refunds

Cancellations, refunds, deposits, completed work, committed resources, and third-party charges are governed by the accepted Project Documents and the Refund & Cancellation Policy. Nothing in these Terms limits any non-waivable rights available under applicable law.

11. Customer Responsibilities

You agree to provide, when reasonably required:

  • Accurate project information, objectives, and instructions
  • Timely decisions, feedback, approvals, and authorized contacts
  • Lawfully obtained content, data, licenses, accounts, and access
  • Secure credentials through an approved delivery method
  • Cooperation needed to test, review, and complete agreed work
  • Payment according to the applicable Project Documents

You represent that you have authority to provide all materials, instructions, approvals, accounts, and access supplied to Phics USA. You remain responsible for reviewing deliverables and reporting material concerns within any review period stated in the Project Documents.

12. Customer Content and Confidential Information

You retain ownership of content and materials you lawfully provide. You grant Phics USA a limited right to access, copy, modify, transmit, and use those materials only as reasonably necessary to evaluate, perform, document, or support the project and meet legal or security obligations.

Do not send passwords, private keys, complete payment-card or bank-account details, regulated data, or other highly sensitive information through a general contact form. If sensitive access is required for an accepted project, use only the method approved by Phics USA.

13. Intellectual Property and Deliverables

The Phics USA website, branding, text, layouts, graphics, and original page elements are owned by or licensed to Phics USA and are protected by applicable intellectual-property laws. You may not reproduce, modify, distribute, republish, or commercially exploit them without written permission.

Ownership and permitted use of project deliverables, source materials, configurations, templates, code, reports, customer content, licensed assets, pre-existing materials, and third-party components are determined by the accepted Project Documents and applicable licenses. Unless otherwise stated, no ownership transfer occurs before all applicable project charges are paid.

14. Third-Party Platforms, Products, and Services

Projects may depend on third-party hosting, domains, software, advertising platforms, payment providers, plugins, applications, artificial-intelligence tools, or other services. Their availability, pricing, policies, licenses, data practices, approvals, and performance are controlled by their providers.

Unless expressly stated in a Project Document, Phics USA does not own, control, endorse, warrant, or guarantee third-party products or services. Customer use of them may be subject to separate provider terms and fees.

15. No Guarantee of Results

Phics USA does not guarantee revenue, profits, savings, search rankings, advertising results, traffic, leads, conversions, platform approvals, uninterrupted operation, implementation outcomes, or any other specific business result unless an accepted Project Document expressly provides a written guarantee permitted by law.

Results may depend on customer participation, budgets, content, existing systems, third-party platforms, competition, market conditions, policy changes, available data, and other circumstances outside Phics USA’s control.

16. No Regulated Professional Advice

General website information does not constitute legal, tax, financial, accounting, investment, medical, or other regulated professional advice. You should consult an appropriately qualified professional before making a decision requiring such advice.

17. Website Availability and Changes

Phics USA may update, modify, restrict, suspend, or discontinue any part of the website. We do not guarantee that the website will always be available, secure, uninterrupted, current, or error-free. Website service descriptions and prices may change, but an accepted Project Document will not be changed solely by a later website update.

18. Disclaimer of Warranties

To the fullest extent permitted by applicable law, this website and its general content are provided “as is” and “as available,” without warranties of any kind, express or implied. Project-specific warranties, if any, apply only when expressly included in an accepted Project Document. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

19. Limitation of Liability

To the fullest extent permitted by applicable law, Phics USA will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from use of this website, reliance on its general content, or an unaccepted inquiry. Liability relating to an accepted project will be governed by its Project Documents and applicable law.

Nothing in these Terms limits liability that cannot legally be limited or excludes non-waivable consumer or statutory rights.

20. Suspension and Termination

Phics USA may suspend or terminate website access or project work where reasonably necessary because of unlawful conduct, security risk, abusive behavior, material breach, non-payment, unauthorized instructions, suspected fraud, sanctions concerns, or risk to Phics USA, a customer, or a third party. Project termination rights, notice, payment consequences, and delivery of completed materials are governed by the Project Documents and applicable law.

21. Privacy

Information submitted through this website is handled according to the Privacy Policy. The Cookie Policy provides additional information about cookies and similar technologies.

22. Governing Law and Disputes

The governing law, forum, and dispute-resolution procedure for an accepted project may be stated in its Project Documents. When no Project Document applies or does not address an issue, the matter will be governed by the applicable law and jurisdiction determined under relevant legal rules. Nothing in these Terms deprives a consumer of protections that cannot be waived under applicable law.

23. General Provisions
